Regulations

  1. These Regulations define the conditions and principles of entrusting financial resources based on mortgage-backed bills of exchange issued by FIG Spółka z ograniczoną odpowiedzialnością with its seat in Warsaw, ul. Zwycięzców 28/21, 03-938 Warszawa, entered into the National Court Register under number 0000256319.
  2. Personal liability for the obligations under the bills of exchange is borne by the issuer, i.e. FIG Sp. z o.o. in Warsaw and the endorser.
  3. Material liability for the bill of exchange obligation is borne by the entities that are eligible for the ownership right to the real properties on which a mortgage is established for claims of the bill of exchange.
  4. Bills of exchange have been issued for a total amount of PLN 13.500.000,00 (thirteen million five hundred thousand) and they have been numbered and marked from A1 to A395, whereby bills with numbers:
    1. from A1 to A70 have a marked value of PLN 100 000 (one hundred thousand PLN)
    2. from A71 to A170 have a marked value of PLN 50 000 (fifty thousand PLN)
    3. from A171 to A205 have a marked value of PLN 20 000 (twenty thousand PLN)
    4. from A206 to A255 have a marked value of PLN 10 000 (ten thousand PLN)
    5. from A256 to A295 have a marked value of PLN 5 000 (five thousand PLN)
    6. from A296 to A395 have a marked value of PLN 1 000 (one thousand PLN)
  5. with a total value of PLN 31.178.100 (thirty one million one hundred seventy eight thousand one hundred PLN):
    1. Premises constituting a separate real property, located in Zielona Góra at 16 A local 47 Stanisława Moniuszki Street, for which a land and mortgage register no. ZG1E/00108846/5 is kept, with a value of PLN 823.100.
    2. Undeveloped plot no. 524 with an area of 6.765 m2, located in Brudziewice municipality, Suchań commune, Stargard district, Zachodniopomorskie voivodeship, for which a land and mortgage register no. SZ1T/00122881/3 is kept, with a value of PLN 661.000.
    3. Undeveloped plot no. 1/14 with an area of 23.296 m2, located in Lipce municipality, Miłkowice commune, Legnica district, Dolnośląskie voivodeship, for which a land and mortgage register no. LE1L/00099519/7 is kept, with a value of PLN 13.172.000.
    4. Plot no. 104/5 with an area of 1.900 m2, located in Warsaw at 51A Biedronki Street, Mazowieckie voivodeship, with a residential building with a usable area of 568.1 m2, for which a land and mortgage register no. WA2M/00143214/8 is kept, with a value of PLN 11.700.000.
    5. Undeveloped plots no. 128/1 and 128/2 with a total area of 27.200 m2, located in Makowiska municipality, Solec Kujawski commune, Bydgoszcz district, Kujawsko- Pomorskie voivodeship, for which a land and mortgage register no. BY1B/00049542/3 is kept, with a value of PLN 4.822.000.
  6. Mortgage creditor's rights are exercised by the mortgage administrator in accordance with the rules set forth in the agreement on appointment of the mortgage administrator.
  7. The mortgage referred to in the Regulations is limited in time and is valid until the 60th (sixtieth) day after the due date indicated in the bill of exchange.
  8. Within 60 days after the day indicated as the payment date of the bill of exchange, the bill of exchange creditor shall be obliged to call FIG Sp. z o.o. to redeem the bill of exchange and to demonstrate it at the issuer's request. The basis for payment shall be exclusively the presentation of the original bill of exchange. Payment request shall be executed through a written request to redeem the bill of exchange, sent to FIG Sp. z o.o. in Warsaw by registered letter, and presentation of the original bill of exchange at a written request of FIG Sp. z o.o. in Warsaw. Verification of a bill of exchange document for its authenticity shall be performed on the basis of numbering and denomination (compatibility with the entry of a joint mortgage in the land and mortgage registers kept for the real estates described in item 5 of the Regulations), issuer's signature, stamp and electronic seal. All copies and transcripts, including in the form of a notarial deed, will not be accepted.
  9. If there is no request to redeem the bill of exchange within 60 days after the due date and if it is not presented at the request of FIG Sp. z o.o. in Warsaw, the mortgage for the bill of exchange shall expire and the mortgage administrator shall be entitled to make a statement expressing consent to the deletion of the mortgage securing the entire claim from the bill of exchange.
  10. If the bill of exchange is not presented for redemption within the period specified in item 7 of the Regulations, the mortgage for the claims under the bill of exchange shall expire. This event shall not affect the liability of the issuer of the bill of exchange or possible endorsers.
  11. Each bill of exchange may be redeemed before its due date on terms agreed upon each time between the issuer and the bill of exchange creditor.
  12. Each bill of exchange creditor shall be entitled to make a further endorsement of the bill of exchange.
  13. The expected remuneration for entrusting financial resources under these Regulations is between 6% and 11% per annum.
  14. Payment of the bill of exchange sum to the bill of exchange creditor shall be made immediately after the bill of exchange is presented for payment, but not later than 21 days from the date of its presentation for payment.
  15. If the payment of the bill of exchange sum described in item 14 above requires the fulfillment of legal or economic obligations (e.g. tax, information, statistical obligations), the payment of the bill of exchange sum shall be made after the bill of exchange creditor has provided all necessary data to fulfill these obligations.
  16. In case when tax has to be collected in the source of income, the paid amount of the bill of exchange sum shall be reduced by the part of the tax which the payer (FIG Sp. z o.o.) is obliged to calculate, collect and record.
  17. Acceptance of a bill of exchange is tantamount to acceptance of the provisions of these Regulations.
